1. Introduction
These Terms and Conditions govern your use of the Code Next website (codenext.co.uk) and the services provided by Code Next. By accessing our website or engaging our services, you agree to be bound by these terms in full. If you do not agree with any part of these terms, you must not use our website or services.
Code Next is a software development company registered in England and operating from Unit 33-37 Bilton Way, Luton, LU1 1UU.
2. Definitions
- "Company," "we," "us," or "our" refers to Code Next.
- "Client," "you," or "your" refers to any individual or organisation that engages our services or uses our website.
- "Services" refers to all software development, consulting, maintenance, hosting, and related digital services provided by Code Next.
- "Website" refers to the Code Next website located at codenext.co.uk.
- "Deliverables" refers to all work products, software, documentation, and materials produced as part of our services.
- "Agreement" refers to any signed contract, proposal, or statement of work between the Company and the Client.
3. Use of Services
3.1 Eligibility
Our services are available to individuals and businesses who are at least 18 years of age and have the legal capacity to enter into binding contracts under the laws of England and Wales.
3.2 Acceptable Use
When using our website and services, you agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorised access to our systems, servers, or networks.
- Interfere with or disrupt the integrity or performance of our website or services.
- Reproduce, duplicate, or exploit any part of our website without express written permission.
- Transmit any viruses, malware, or other harmful code through our systems.
3.3 Service Scope
The specific scope of services, timelines, and deliverables will be defined in a separate Agreement or Statement of Work. Any changes to the agreed scope must be documented in writing and may be subject to additional charges.
4. Intellectual Property
4.1 Ownership of Deliverables
Upon full payment of all applicable fees, the intellectual property rights in bespoke deliverables created specifically for the Client shall transfer to the Client, unless otherwise stated in the Agreement.
4.2 Pre-Existing Materials
Code Next retains all intellectual property rights in any pre-existing materials, frameworks, libraries, tools, and methodologies used in the delivery of services. The Client is granted a non-exclusive, perpetual licence to use such materials as part of the delivered solution.
4.3 Company Intellectual Property
All content on the Code Next website, including text, graphics, logos, images, and software, is the property of Code Next and is protected by UK and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.
5. Payment Terms
5.1 Fees and Invoicing
All fees for services will be outlined in the relevant Agreement or proposal. Unless otherwise agreed, invoices are payable within 30 days of the invoice date.
5.2 Late Payments
We reserve the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We may also suspend services until outstanding payments are settled.
5.3 Taxes
All fees quoted are exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing rate where applicable.
5.4 Refunds
Refunds are handled on a case-by-case basis. Fees for work already completed are generally non-refundable. Any refund requests must be submitted in writing within 14 days of the relevant invoice date.
6. Limitation of Liability
6.1 General Limitation
To the fullest extent permitted by law, Code Next shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of our services.
6.2 Maximum Liability
Our total liability in respect of any claim arising under or in connection with the Agreement shall not exceed the total fees paid by the Client to Code Next during the 12 months preceding the claim.
6.3 Exclusions
Nothing in these terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
7. Data Protection
7.1 Compliance
Code Next is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For full details of how we collect, use, and protect your data, please refer to our Privacy Policy.
7.2 Data Processing
Where Code Next processes personal data on behalf of a Client as part of our services, a separate Data Processing Agreement will be put in place to define the responsibilities of each party.
7.3 Security Measures
We implement appropriate technical and organisational measures to protect personal data against unauthorised access, alteration, disclosure, or destruction.
8. Termination
8.1 Termination by Client
The Client may terminate the Agreement by providing 30 days written notice. The Client shall remain liable for all fees incurred up to and including the date of termination, as well as any non-cancellable commitments made on their behalf.
8.2 Termination by Code Next
Code Next may terminate the Agreement immediately if the Client breaches any material term of these conditions and fails to remedy such breach within 14 days of receiving written notice.
8.3 Effects of Termination
Upon termination, Code Next will deliver all completed work and materials to the Client, subject to full payment of outstanding fees. Any licences granted under these terms shall survive termination to the extent necessary for the Client to use the delivered work.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
